Studyzy Terms of Service

1. Introduction & Acceptance of Terms

Welcome to Studyzy (the “Service”), operated by [Studyzy, Inc. or appropriate legal entity] (“Studyzy,” “we,” “us,” “our”). By accessing or using our websites, mobile applications, and any associated services (collectively, the “Platform”), you (the “User” or “you”) agree to be bound by these Terms of Service (the “Terms” or “Agreement”). If you do not agree, do not access or use the Service.

We may modify these Terms from time to time. If we do, we will notify you by posting the updated Terms on our Platform or via other reasonable means. By continuing to use the Service after such changes take effect, you agree to be bound by the modified Terms.

2. The Service

Studyzy allows users to upload textbook photos, notes, prompts, or other documents for the purpose of generating digital flashcards and similar learning materials (the “Content”), leveraging AI-based services to improve study and memorization. You acknowledge that any output generated by our Service or by third-party AI providers is for informational and educational purposes only, and you use such output at your own risk.

• No Guarantee of Accuracy: While we strive to provide helpful study aids, we do not guarantee the accuracy, completeness, or reliability of AI-generated or user-generated materials.
• Service Updates: We reserve the right to modify, update, or discontinue the Service or any part thereof at any time, with or without notice. We are not liable if all or any part of the Service is unavailable at any time or for any period.

3. Eligibility & Account Registration

1. Age Requirements
   • You must be at least 13 years old (or the minimum age of digital consent in your country) to create an account and use the Service.
   • If you are under the age of 18 (or the age of majority in your jurisdiction), you may only use our AI-related features if you have the verifiable consent of your parent or legal guardian.
   • The Service is not directed to children under 13. If we discover we have collected personal information from a child under 13 without proper consent, we will delete it.
2. Account Creation
   • You may be required to create an account by providing an email address, password, and certain other information (“Account Information”).
   • You agree to provide accurate, current, and complete information, and to promptly update it if changes occur.
   • You are responsible for all activities under your account and must keep your login credentials confidential.

4. Subscription & Virtual Currency

Some features of Studyzy (the “Service”) may require the purchase of virtual currency (“Stars”) or a paid subscription (“Subscription”). Below are the conditions governing these transactions:

4.1 Purchasing Stars

• You may buy Stars through our in-app purchasing system or other authorized methods we provide.
• Once purchased, refunds for Stars must be requested through Apple’s in-app purchase refund process (if you purchased via an iOS device) or through other relevant app store channels according to their respective policies.
• If you use Stars to obtain certain items or features within the app, those Stars (or the items/features acquired with them) are not refundable, unless we choose to offer a refund at our sole discretion.

4.2 Adjustment After Refund

• Right to Adjust Balance: If you receive a refund for a Stars purchase, Studyzy reserves the right to deduct the equivalent number of refunded Stars from your in-app virtual wallet.
• Negative Balance: In the event that you do not have enough Stars remaining to deduct (e.g., you have used them), your balance may become negative.
• Restricted Access: If your account reflects a negative balance, Studyzy may restrict your access to certain features or suspend your account until the negative balance is resolved.

4.3 Subscription Terms

• If you opt for a paid Subscription, you authorize Studyzy (or its payment processor) to charge your payment method in the amounts and at the intervals disclosed at sign-up.
• You understand that Subscription fees may automatically renew unless you cancel before the renewal date, in accordance with the instructions in your account settings.
• We reserve the right to change our Subscription fees at the end of your current billing period, with reasonable prior notice to you.

4.4 Usage of Virtual Currency

• Stars are non-transferable and have no monetary value outside of the Service. They cannot be redeemed for actual currency, except as expressly permitted in these Terms or required by law.
• Your purchase of Stars is a limited, non-exclusive, non-transferable, revocable license to use such Stars solely for obtaining in-app items, features, or other services within the Service.

4.5 Payment Processing

• All payments (for Stars or Subscriptions) made through app stores (such as Apple’s App Store) are subject to those platforms’ billing terms and refund policies. Please review them carefully.
• If you believe you have been incorrectly charged, please contact us at [email protected], but be aware we may direct you to the relevant app store or payment processor for resolution if applicable.

4.6 No Guarantee on Item Availability

• We reserve the right to modify, suspend, or remove virtual items, features, or services that can be obtained with Stars, at any time and without liability to you.
• We are not liable for any losses resulting from the modification, suspension, or removal of in-app items or features.

4.7 Cancellations & Refunds for Subscriptions

• You may cancel your Subscription at any time by following the instructions in your account settings.
• No partial refunds are provided for Subscription periods already commenced, unless required by law or otherwise stated in these Terms.

4.8 Termination of Account

• If your account is terminated for violating these Terms, you acknowledge and agree that any unused Stars and any active Subscription may be forfeited, subject to our discretion and applicable law.

5. User Conduct & Responsibilities

By using the Service, you agree that you will not:

• Violate Laws or Rights: Use the Service in a manner that violates any applicable law or regulation or infringes any intellectual property or other rights.
• Upload Harmful or Inappropriate Content: Post or transmit any viruses, malware, or harmful code; post or share defamation, harassment, or objectionable content; or disclose others’ personal data without authorization.
• Misrepresent or Exploit: Misrepresent your identity; interfere with the Service’s functionality; or attempt to reverse-engineer our technology.
• Excessive Use or Abuse: Overburden or damage the Service, engage in large-scale scraping, or resell the Service without explicit permission.

We reserve the right to suspend or terminate your access to the Service if you violate these Terms or applicable laws.

6. User Content & Intellectual Property

1. Ownership of Your Content
   You own any text, documents, photos, or other materials you submit or upload to the Service (“User Content”). However, by uploading or creating such content, you grant Studyzy a non-exclusive, transferable, sublicensable, worldwide, royalty-free, perpetual license to host, store, reproduce, modify, create derivative works, publish, and distribute your User Content to operate, improve, and promote the Service. You represent that you have all necessary rights to grant us this license.
2. Generated Content
   If the Service (or a third-party AI provider) generates content (“Generated Content”) based on your prompts, you acknowledge that such content may be subject to similar license terms. Studyzy does not guarantee the accuracy or reliability of Generated Content.
3. Studyzy Intellectual Property
   All right, title, and interest in the Service—including software, design, trademarks, and other proprietary materials—remain with Studyzy or its licensors. You receive only a limited license to use the Service as permitted in these Terms.

7. Privacy

Your personal data will be handled according to our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you consent to our collection and use of data as described therein.

8. Disclaimer of Warranties

TO THE EXTENT PERMITTED BY LAW, THE SERVICE AND ANY CONTENT (INCLUDING GENERATED CONTENT) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. STUDYZY AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS SPECIFICALLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS;
• THE INFORMATION (INCLUDING GENERATED CONTENT) WILL BE ACCURATE OR RELIABLE; OR
• ANY DEFECTS OR ERRORS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

1. No Consequential Damages
   STUDYZY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. Cap on Liability
   IF STUDYZY IS FOUND LIABLE, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS (USD $50) OR THE TOTAL AMOUNTS YOU PAID TO US IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY.
3. Basis of the Bargain
   YOU AGREE THAT THESE LIMITATIONS OF LIABILITY ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND STUDYZY.

10. Indemnification

You agree to defend, indemnify, and hold harmless Studyzy, its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising out of or related to your use or misuse of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Dispute Resolution & Governing Law

1. Governing Law
   These Terms and any disputes arising out of or relating to them will be governed by the laws of the United Kingdom, without regard to conflict-of-law principles.
2. Arbitration Agreement
   Except where prohibited by law, any claim or dispute arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration in the United Kingdom, conducted in English under the Arbitration Act 1996 (UK), before a single arbitrator. No class or representative actions are allowed.
3. Injunctive Relief
   Nothing in these Terms prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

12. Termination

1. By You
   You may stop using the Service at any time. To cancel any recurring Subscription, follow the instructions in your account settings.
2. By Studyzy
   We may suspend or terminate your access to the Service if we believe you have breached these Terms or engaged in unlawful behavior.
3. Effect of Termination
   Upon termination, all licenses granted in these Terms immediately cease. Sections related to User Content, Limitation of Liability, Indemnification, and Dispute Resolution survive any termination.

13. Miscellaneous

• Severability: If any provision is deemed invalid, the remaining provisions remain in effect.
• No Waiver: Failure to enforce any right or provision is not a waiver of future enforcement.
• Assignment: Studyzy may assign or transfer its rights and obligations without restriction; you may not assign these Terms without our consent.
• Entire Agreement: These Terms, including any policies incorporated by reference, constitute the entire agreement between you and Studyzy.
